40 • January 2018 www.concreteproducts.com ORGANIZATIONS The National Ready Mixed Concrete Associ- ation Operations, Environmental and Safety Committee begins 2018 with a new name: Safety, Environmental and Operations Excel- lence (SEO) Committee. The NRMCA Board prompted the change while also creating the Work Force Development Committee, respon- sible for human resource matters specific to ready mixed concrete, and superseding the former OES HR Task Group. SEO Chairman Tim Kauzlick (Cemex USA) notes that the 2018 committee agenda topics or activities include autonomous mixer trucks, Environmental Video Series, educational courses, renewed efforts surrounding Green- Star plant certification, additional webinars, and National Mixer Driver Championship. The next SEO Committee meeting is scheduled for March 3 in Houston, during the 2018 NRMCA Convention. The American Concrete Pavement Asso- ciation has named Chuck Niederriter, chief operating officer of Golden Triangle Construc- tion Co., Imperial, Pa., as its 2018 chairman, succeeding Lehigh Hanson Senior Director of Marketing Lori Tiefenthaler. "The mission for 2018 will be for the national organization to work closely with the ACPA-affiliated chapters to provide increased service and assistance to our governmental partners at the state and local level," says Niederriter. "This is of great importance con- sidering the heightened awareness nationally for much needed improvements to the infra- structure. Transportation departments across the country are asking for help, and we are prepared to step in." Separately, ACPA presented its 2017 Hart- mann-Hirschman-Egan Award to Michael Darter, Ph.D., P.E., principal engineer with Applied Research Associates, Inc. and Uni- versity of Illinois Professor Emeritus. The award recognizes his innovation, leadership, teaching, and mentoring in the field of civil engineering, plus advancement of technology spurring volumes of high-quality concrete pavements. Darter's 40-plus years of consulting, research and teaching have resulted in what ACPA notes is a legacy of exceptional pave- ment engineers and engineering tools used in all facets of concrete pavement design; eval- uation and forensic analyses; performance prediction modeling; performance-related specifications; life-cycle cost analysis; and, rehabilitation procedures. Delaware Court of Chancery granted Forterra Inc. attorneys' motion to dismiss a lawsuit that HeidelbergCement AG affiliates had filed over earn-out contingency fees tied to the $1.2 billion sale of the former Hanson Building Materials. Terms called for buyer Lone Star Fund IX (U.S.), L.P. to pay HeidelbergCement up to $100 million for the 67-plant business depending on fiscal 2015 EBITDA (earnings before interest, taxes, depreciation and amor- tization) thresholds. The Court ruled that a) an independent accounting arbitrator appointed per the acqui- sition agreement has jurisdiction over the EBITDA calculation, including what information can be considered as part of such accounting; and, b) plaintiffs' indemnification claims are barred due to a contractual statute of limitations. The ruling can be appealed, Forterra officials noted in a late-2017 Securities & Exchange Commission filing, while the earn-out calculation remains subject to arbitrator analysis of the producer's 2015 financials. Dallas-based Lone Star Fund IX adopted the Forterra identity in late 2015 and closed nearly $1 billion in bolt-on transactions ahead of an October 2016 initial public offering.
